Terms & Conditions

Last Updated: 14 April 2025  |  Effective Date: 14 April 2025

1. Definitions

In these Terms & Conditions, the following terms have the meanings below:

2. Acceptance of Terms

By using our website, submitting an enquiry, or engaging Tessera for services, you confirm that you have read and agree to these Terms. You must be at least 18 years old and have legal capacity to enter into an agreement. If you are engaging us on behalf of a business, you confirm you have authority to bind that business.

3. Services

Tessera provides interior design consultancy services across three main areas: Interior Concept Development, Comprehensive Design & Visualisation, and Project Coordination & Sourcing. The specific scope for each engagement is confirmed in a written project brief before work begins. Services are available primarily within Selangor and Kuala Lumpur, with other locations considered on request.

4. Engagement and Payment

4.1 Service Fees

Fees are as listed on our website and confirmed in the project brief. Service fees cover design work only and do not include the cost of materials, furniture, contractors, or third-party purchases.

4.2 Payment Terms

A deposit (typically 50% of the design fee) is required before work begins. The remaining balance is due upon delivery of the agreed deliverables, or at a milestone specified in the project brief. Payment is accepted in Malaysian Ringgit (MYR) by bank transfer.

4.3 Late Payment

Tessera reserves the right to pause work if payment is overdue by more than 14 days. Any overdue amounts may accrue late fees at a rate consistent with Malaysian law.

5. Revisions and Changes

The number of revision cycles included in each service is specified in the project brief. Additional revisions beyond the included number may be accommodated at an agreed hourly rate. Material changes to project scope — such as significant changes to room count, service type, or project objectives — will be discussed and documented before any additional fees are committed to.

6. Intellectual Property

All design concepts, layouts, renders, mood boards, and written materials produced by Tessera remain the intellectual property of Tessera until full payment has been received. Upon receipt of final payment, the Client is granted a non-exclusive licence to use the deliverables for the specific project described in the brief. Tessera retains the right to include completed project work in our portfolio, subject to the client confidentiality terms in our Privacy Policy.

7. Client Responsibilities

To enable Tessera to deliver services, the Client agrees to:

Delays caused by the Client's failure to provide information or decisions may affect project timelines. Tessera will communicate any such impact promptly.

8. Prohibited Use of Website

When using our website, you agree not to: distribute spam or unsolicited communications; attempt to gain unauthorised access to any part of the site; upload malicious code; or misrepresent your identity or affiliation.

9. Disclaimers

Tessera provides design consultancy services. We are not responsible for the workmanship of contractors you engage independently, nor for delays caused by suppliers outside our direct coordination. While we take care with material and supplier recommendations, we cannot be held responsible for post-installation performance of third-party products unless we have expressly provided a quality assurance undertaking in the project brief.

Our website content is provided for general information. It does not constitute a binding quotation or service commitment.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, Tessera's total liability for any claim arising from a service engagement shall not exceed the design fee paid by the Client for the specific service to which the claim relates. We exclude liability for indirect, consequential, or special damages. Nothing in these Terms limits liability for fraud, personal injury, or matters that cannot be limited by law.

11. Termination

Either party may terminate a service engagement by giving 14 days' written notice. On termination, the Client is responsible for payment of fees proportionate to work completed up to that point. Tessera will deliver any completed outputs promptly upon receipt of payment due. Upon termination, clauses relating to intellectual property and confidentiality survive.

12. Dispute Resolution

We prefer to resolve any disagreements informally. If you have a concern, contact us directly at [email protected] and we will work to find a resolution within 30 days. If informal resolution is not possible, disputes shall be subject to the jurisdiction of the courts of Selangor, Malaysia, under Malaysian law.

13. General Provisions

These Terms constitute the entire agreement between you and Tessera regarding the matters described. If any provision is found unenforceable, the remainder of the Terms continues in effect. Our failure to enforce any right does not waive that right. These Terms may not be assigned by you without our prior written consent.

14. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised date. Continued use of our website or services following an update constitutes acceptance of the revised Terms. For significant changes, we will provide notice.
